Supagas Pty Limited (**Supagas**) proposes to acquire substantially all of the assets held by Heeson Medical Pty Ltd and Jacobba Pty Ltd (together, **Heeson Medical**) (the **Acquisition**). Supagas is a wholly owned subsidiary of Nippon Sanso Holdings Corporation, which is part of the Mitsubishi Chemical Group. Supagas is a national producer and supplier of LPG as well as a producer and supplier of some industrial gases, which are used in industrial, commercial, medical and residential applications. Supagas’ immediate parent company, NSC (Australia) Pty Ltd, also owns Coregas Pty Ltd (**Coregas**). Coregas is a national producer and supplier of compressed industrial gases and cryogenic liquids across a range of sectors, including some medical gases. Heeson Medical is a Brisbane-based company specialising in the supply of medical gases (mainly oxygen) and related equipment and accessories for domestic use, veterinary clinics, small medical clinics and aged care centres located within the South East Queensland and northern New South Wales regions.
