INNIO Holding GmbH (INNIO Holding), through its wholly owned subsidiaries INNIO Jenbacher International B.V. (INNIO Jenbacher International) and INNIO Jenbacher Netherlands B.V. (INNIO Jenbacher Netherlands) (together with their affiliates, the **INNIO Group**) proposes to acquire 100% of the share capital in Enerflex Service Pty Limited (**Enerflex**). The Target Companies provide aftermarket services (spare parts, repair and maintenance) for gas compression and energy infrastructure. (the **Acquisition**). INNIO Group is a global manufacturer of gas power units under the Jenbacher and Waukesha brands. INNIO Group manufactures gas power units and genuine spare parts at its facilities (primarily in Austria for Jenbacher and the United States, and Canada for Waukesha) and supplies these globally through distributors, including in Australia. Enerflex Australia is an aftermarket services provider for energy infrastructure operators in Australia. It provides maintenance, repair, replacement of spare parts, field services, retrofits, and the supply of gas power units (new and refurbished as replacements) as part of their aftermarket services for a wide variety of gas compression and power generation units and other related equipment, such as compressor units and electric motors.
