Monadelphous Group Limited (**Monadelphous**) proposes to acquire 100% of the issued share capital in Tyden Power Pty Ltd (**Tyden Power**) (the **Acquisition**). Monadelphous is an ASX-listed Australian engineering group providing construction, maintenance and industrial services to the resources, energy and infrastructure sectors. Monadelphous, through its various business units, provides high voltage (**HV**) electrical services principally in Western Australia, Victoria and Queensland. Tyden Power is a New South Wales-based provider of HV engineering, testing, commissioning, maintenance and construction services to customers in the energy, utilities and infrastructure sectors. Following completion, Tyden Power will become a wholly-owned subsidiary of Monadelphous.
