Macquarie Global Infrastructure Fund SCSp acting by its general partner MGIF Luxembourg GP S.à.r.l (**MGIF**) proposes to acquire 50% of the shares in SERV Holdings Pty Ltd (ACN 627 986 270) and 50% of the units in SERV Holdings Trust (ABN 91 458 812 703) (together, Secure Electronic Registries Victoria (**SERV**)) from FSS Liberty Pty Ltd as trustee for FSS Liberty Trust (a fixed unit trust) (together, **FSS**). FSS is directly 100% owned by Aware Super Pty Ltd (ACN 118 202 672) as trustee for Aware Super (fund) (**Aware**). MGIF is proposing to acquire the interest through a newly incorporated entity, Sirius Consortium Pty Ltd as trustee of Sirius Consortium Trust (**SCT**). MGIF MGIF is a fund managed by Macquarie Asset Management (**MAM**) (the asset management arm of Macquarie Group Limited). MAM manages investments by clients in infrastructure assets in Australia (including airports, fibre, State land and motor registries, logistics and electricity distributors). Funds managed by MAM hold majority shareholdings in Land Services SA (**LSSA**) and Land Services WA (**LSWA**), which operate or administer their respective states’ land title registries, as well as VicRoads (in which MGIF also holds a look through interest of 14.67%), which supplies motor vehicle registration and driver licensing services in Victoria. MAM is also the investment manager for Gardior as trustee for the Infrastructure Fund's 25% interest in the NSW Land Registry Services (**NSW LRS**). SERV SERV is the exclusive, private operator of certain administrative and operational land titling and registration services in Victoria. SERV operates under a 40-year concession granted by the State of Victoria in 2018. Statutory functions, including the legal act of registration, remain with the Registrar and the State. SERV is wholly owned by FSS, which in turn, is wholly owned by Aware. FSS will retain a 50% interest in SERV following the acquisition. Aware Aware is a member owned Australian superannuation fund with 1.17 million members and 137,200 active employers as at 30 June 2025. Aware offers superannuation, insurance, investments and advice to around 1.3 million Australians. Aware has minority interests in NSW LRS and VicRoads. Land titles office and motor registry services Each relevant state’s private operator of the land titles office and motor registry is the sole authorised provider of registry related services within their state. The operator can only provide services in their state subject to the terms of each respective concession deed. SERV and other private operators of state land titles registries supply property information products (which are based on data from the respective state land registries) to some common national customers.
