VetPartners Australia Pty Ltd (**VetPartners**), through a newly incorporated holding company, Unity HoldCo Pty Ltd, proposes to acquire 100% of the issued share capital in VetLove Holdings Pty Ltd, the parent entity of the VetLove group which holds majority shareholdings in the group’s 15 veterinary clinics (together, **VetLove**) (the **Acquisition**). VetPartners supplies general veterinary services to companion animals via a network of 202 clinics across Australia, including 51 clinics in Queensland and 50 in New South Wales. VetPartners also operates a range of businesses in the broader animal health sector including the Brisbane Veterinary Specialist Centre and other specialist and emergency hospitals, United Vets Group which is a veterinary buying group, Pet Chemist which is an online veterinary pharmacy and Pet Angel which is a pet crematorium. EQT Fund Management S.à r.l., which indirectly holds and solely controls VetPartners, also holds an interest in Dechra Pharmaceuticals, a global veterinary pharmaceuticals supplier. VetLove operates 15 general veterinary services clinics across South East Queensland and Northern New South Wales.
