Total Ventilation Hygiene Pty Ltd (**TVH**) proposes to acquire, through a share purchase agreement, 100% of the shares in Alphacool Cairns Pty Ltd (**Alphacool**) from Saavy B&C Pty Ltd as trustee for the Martyn Wittebol Family Trust (**Saavy**) (50%) and Aqua Riverside Pty Ltd as trustee for the Daisylu Family Trust (**Aqua Riverside**) (50%) (the **Acquisition**). TVH is majority-owned by funds managed by Alceon Pty Ltd, an entity within the Alceon Private Equity group (**APE**). Apart from TVH, APE does not supply or have any interests in any businesses that supply goods or services that are competitive with Alphacool in Australia. Both TVH and Alphacool provide heating, ventilation, air conditioning and refrigeration (**HVAC-R**) installation, maintenance, and repair services (referred to as **HVAC-R services**) and electrical installation, maintenance and related services (referred to as **electrical services**). TVH supplies HVAC-R and electrical services, predominantly to national customers under national contracts, from locations across Australia. Alphacool supplies HVAC-R and electrical services, predominantly to smaller customers on a local basis, in the built-up coastal corridor between Port Douglas, Cairns, and Cardwell (referred to as **Far North Queensland**).
