Merchant Wealth Partners, LLC (together with its subsidiaries, **Merchant**) proposes to acquire an equity interest in Ironbark Investment Partners Pty Limited (**Ironbark**) (the **Acquisition**).   Merchant is a New York-based investor established in 2016 as a capital investor for financial planning firms. Merchant has interests in a number of Australian-based financial planning firms that primarily provide financial planning services and fund management and corporate trustee services to customers across Australia. Ironbark is an Australian financial services group founded in 2009 that primarily provides financial planning services (through its Ironbark Advice and Ironbark Private Wealth brands), fund management and corporate trustee services (through its Ironbark Investment Solutions brand) to customers across Australia.
