Zurich Financial Services Australia Limited (Zurich) proposes to acquire all of the issued shares in ClearView Wealth Limited (ClearView) (the Acquisition). ClearView is an ASX-listed company which, through its wholly owned subsidiary, ClearView Life Assurance Limited, offers a range of life insurance products to customers in Australia including life, income protection, total & permanent disability (TPD) and trauma insurance. ClearView primarily supplies these life insurance products under its ClearChoice brand and via the retail adviser channel (i.e. via financial advisers). Zurich is an Australian financial services company that is ultimately owned by Zurich Insurance Group Ltd, a company listed on the SIX Swiss Exchange. Zurich, through its wholly owned subsidiary, Zurich Australia Limited, manufactures and supplies life insurance products to customers in Australia through two brands, Zurich and OnePath Life, including cover for life, income protection, TPD and trauma insurance. Zurich’s subsidiary, Zurich Assure Australia Pty Limited (Zurich Assure), provides financial product advice to customers, including independent advice in relation to life insurance products.
