Bupa Health Services Pty Ltd (**Bupa**) proposes to acquire 100% of the shares in Partnered Health Pty Ltd (**Partnered Health**) (the **Acquisition**). Bupa is an Australian subsidiary of the British United Provident Association, an international healthcare company with Australian operations in health insurance, primary care, aged care homes and retirement villages. Bupa provides a range of services in Australia, including: * facilities and services to independent general practitioners to enable them to run their general practices, * facilities and services to independent dentists to enable them to run their dental practices, * psychology and mental health services under the ‘Mindplace’ brand, * specific services to the Commonwealth Government in relation to visa medical checks and the health needs of the Australian Defence Force and veterans, and * optical and hearing services under the ‘Bupa Optical’ brand. Partnered Health is a national provider of primary care services to individuals, and corporate health and wellbeing services to businesses. In primary care, Partnered Health operates medical centres offering general practice and allied health services. Partnered Health also offers skin checks under the ‘Molescan’ brand, dietetics under the ‘Fuel Your Life’ brand, physiotherapy under the ‘Northcare Physio’ brand and psychology under the ‘New View Psychology’ and ‘NewPsych Psychologists’ brands. In corporate health and wellbeing, Partnered Health offers corporate health services under the ‘JobFit’, ‘Baseline Onsite’ and ‘Australian EAP’ brands.
