OEConnection, LLC (**OEConnection**), through its wholly owned subsidiary, proposes to acquire 100% of the share capital of Quadrum Investments Group Ltd and its controlled subsidiaries (trading as **Epyx**) (the **Acquisition**). OEConnection is a United States-based company that supplies software solutions for the automotive aftersales ecosystem, connecting suppliers, repairers, manufacturers and insurers through a spare parts marketplace, repair insights and supply chain solutions. OEConnection primarily supplies software and data solutions that facilitate the sale, sourcing and supply of automotive parts for vehicle repairs. OEConnection is a controlled portfolio company of funds managed/advised by an affiliate of Francisco Partners Management, L.P. (**Francisco Partners**). Francisco Partners is a global private equity investment firm headquartered in the United States that primarily invests in technology and technology-enabled service businesses. Epyx is a fleet technology solutions company headquartered in the United Kingdom that supplies fleet management software. Epyx’s primary offering is a fleet service, maintenance and repair authorisation platform called 1link Service Network. It connects vehicle fleet operators (such as leasing and rental companies) with automotive service providers (repair shops and garages), streamlining fleet service, maintenance and repair transactions. Epyx is indirectly owned by Corpay, Inc (NYSE: CPAY), a United States-based corporate payments and spend management company.
