Coles Group Limited (**Coles**) is an Australian public company (ASX: COL) that primarily operates: * supermarkets nationwide through its subsidiary, Coles Supermarkets Australia Pty Ltd (**CSA**); and * retail liquor stores nationwide, trading under the Liquorland, Liquorland Warehouse and Liquorland Cellars brands. SpinksCo (**Lessor**) is a property development company that specialises in retail development projects across Queensland. CSA has signed a letter of offer with the lessor, which is intended to facilitate Coles acquiring a leasehold interest in a new convenience-based neighbourhood centre to be developed at 34 Central Avenue, Cannonvale Queensland 4802 for the purposes of a Coles supermarket (the **Acquisition**). The proposed Coles supermarket is anticipated to open around March 2030.
