Bloomberg, Inc. (**Bloomberg**) proposes to acquire Canoe Software Inc. (**Canoe**), whereby a newly formed subsidiary of Bloomberg (Clipper Acquisition Inc.) will merge with and into Canoe, following which Canoe will be a direct subsidiary of Bloomberg (the **Acquisition**). Bloomberg is a privately owned company and is headquartered in New York, US. Bloomberg provides business and financial news and information along with financial technology solutions including through the Bloomberg Terminal, Bloomberg Enterprise Data License, Enterprise Products, Bloomberg Electronic Trading Solutions and Bloomberg Media. These services are provided to investors and other financial market participants globally, including in Australia. Canoe provides a data management and intelligence platform designed to streamline the collection and organisation of private markets investment information globally and in Australia. Canoe’s platform facilitates the sharing of private funds data between General Partners and Limited Partners, typically on behalf of Limited Partners. General Partners are generally asset managers, while Limited Partners are typically asset owners.
