MUFG Pension & Market Services Holdings Pty Limited (**MPMS**), through its wholly owned subsidiary Australian Administration Services Pty Limited, proposes to acquire 100% of the shares in Grow Technology Services Ltd (**Grow**), pursuant to a scheme of arrangement (the **Acquisition**). MPMS is a global provider of data and technology-enabled services, delivering business-to-business (**B2B**) solutions across financial services and capital markets. Through its MUFG Retirement Solutions business, MPMS delivers administration services to superannuation funds, operating across Australia, Hong Kong, New Zealand and the United Kingdom. MPMS supplies superannuation administration services using its technology platform (aaspire) which is non-cloud native. Grow provides superannuation administration services to superannuation funds in Australia. Grow’s core offering is a distributed ledger technology platform built on the Corda Enterprise blockchain (DLTA) that provides modular, cloud-based technology. MPMS and Grow overlap in the supply of administration services to superannuation funds in Australia.
