Kinetic Holding Company Pty Ltd (**Kinetic**) proposes to acquire 100% of the shares in L.C. Dyson’s Bus Services Pty Ltd (**Dysons**, together with its affiliates, the **Dysons Group**) pursuant to a share sale agreement. Kinetic also proposes to acquire certain freehold and leasehold interests in bus depot assets currently leased by the Dysons Group and owned by related parties of Dysons’ shareholders, namely 3D Management Properties Pty Ltd, 324 Gen Investments Pty Ltd, 3D Properties (Kyneton) Pty Ltd and 3D Properties (Wodonga) Pty Ltd. Kinetic is proposing to acquire the bus depot assets under separate Land Sale Contracts. The share sale agreement and each of the Land Sale Contracts are interdependent, with simultaneous settlement and completion. Given the interdependencies between each of these agreements, Kinetic is notifying the proposed acquisitions together as a single notification for the purposes of s 51ABX(5) of the CCA (**Proposed Transaction**). Kinetic is a transportation company that operates bus services in Australia and overseas. This is predominantly under the Kinetic brand but also (in Australia) in: • the Northern Territory, Queensland and Western Australia under the Kinetic Specialised Resources brand; • in Victoria, Sydney and Western Australia under the SkyBus brand; and • in Queensland under the Koala Koaches brand and SkyBus brands. These services include, depending on the region, urban route and school services, regional bus services, and charter bus services, airport transfers bus services and some specialised bus services, for example to the mining and resources sector. Dysons is a family-owned coach and bus operator based in Melbourne. It provides services in Victoria, regional New South Wales and regional South Australia under the Dysons brand. These services include urban route services, school services, regional bus services, rail replacement services and charter services.
