The Altius Group (**Altius**), via its wholly owned subsidiary, Altius Bidco Pty Ltd, proposes to acquire 100% of the issued share capital of Converge International Pty Ltd (**Converge**) (the **Acquisition**). Altius is a workplace health and wellbeing service provider owned by a fund managed by Riverside Company, a private equity firm. Its services include: * Occupational rehabilitation and injury management services to support physically or psychologically injured workers return to work. * Workplace health, wellbeing and employee support services. This includes both general services (such as workplace  and safety services and executive health assessments) and psychological services. Psychological services include both ‘preventative’ services (such as organisational psychology and employee counselling), and ‘treatment’ services to support employees in distress (such as employee assistance program (**EAP**) offerings and critical incident response (**CIR**) services). * Ancillary services such as psychometric assessments, training and consulting. Converge is an Australian EAP and workplace wellbeing service provider. Its core business is focused on providing EAP/CIR services, while also offering various other workplace health, wellbeing and employee support services. Similar to Altius, Converge also offers ancillary services such as psychometric assessments, training and consulting.
