Hopper Motor Group (**Hopper**), through its subsidiary Central Auto Pty Ltd, proposes to acquire the Essendon Kia dealership located at 342 Wirraway Rd, Essendon Fields VIC 3041 by way of an asset purchase from Eagers Vic Pty Ltd (**Eagers**) (the **Acquisition**). Hopper owns and operates motor vehicle dealerships for 5 brands in 6 locations: •    Werribee Hyundai, 163-179 Old Geelong Rd, Hoppers Crossing, VIC, 3029; •    Werribee Kia, 163-179 Old Geelong Rd, Hoppers Crossing, VIC, 3029; •    Werribee Isuzu UTE, 181-185 Old Geelong Rd, Hoppers Crossing, VIC, 3029; •    BYD Werribee, Unit 1, 153-155 Old Geelong Rd, Hoppers Crossing VIC 3029; •    Essendon Hyundai, 340 Wirraway Rd, Essendon Fields, VIC, 3041; and •    Essendon Nissan, 288 Wirraway Rd, Essendon Fields, VIC, 3041. Eagers is a subsidiary of Eagers Automotive Limited (**Eagers Automotive**), an ASX-listed automotive retail group which owns and operates motor vehicle dealerships across Australia, including Essendon Kia. Eagers Automotive sells new and used motor vehicles through its dealerships, representing around 50 automotive brands. Eagers Automotive also provides related goods and services including motor vehicle service, parts and allied consumer finance. Hopper and Eagers both supply new and used motor vehicles and related goods and services, including motor vehicle services and parts and finance services.
