Total Drain Group Pty Ltd, trading as TDG Environmental (**TDG**), proposes to acquire 100% of the shares of Utility Management Group Pty Ltd, trading as Pipe Management Australia (**PMA**) (the Acquisition). The acquirer, TDG, is a provider of stormwater and wastewater collection, maintenance and waste recycling services in Australia and New Zealand. The target, PMA, is a provider of stormwater and wastewater collection and maintenance (in particular relining) services operating primarily in New South Wales and Queensland. TDG and PMA overlap in New South Wales and Queensland (and to a minimal extent, Victoria and the Australian Capital Territory) in the supply of liquid waste collection and maintenance services to councils and water authorities in relation to stormwater and wastewater, and, to a more limited extent, infrastructure and commercial and industrial customers. Liquid waste collection and maintenance services comprise a range of services relating to the inspection, cleaning, maintenance and rehabilitation of stormwater drainage infrastructure, including drains, pits, culverts, pipes and gross pollutant traps. Services include jetting/vacuuming, gross pollutant trap (GPT) servicing, non-destructive digging (NDD), pipe remediation, CCTV inspection, and waste transport and disposal.
