PH Medical Centres Pty Ltd (**Partnered Health**) proposes to acquire Ryan Plaza Medical Services Pty Ltd (**Ryan Plaza**) (the **Acquisition**). Partnered Health is part of the Partnered Health Group and an indirectly wholly-owned subsidiary of Partnered Health Pty Ltd (**PHPL**). The Partnered Health Group comprises two business divisions: the PH Primary Care Group and the Corporate Health and Wellbeing Group. PHPL is part of a larger group of companies which are majority owned by Quadrant Private Equity (QPE) through Quadrant Private Equity No. 6 (**QPE Fund 6**). Partnered Health together with other PHPL subsidiaries (**PH Primary Care Group**) provide primary care services through 67 general practice clinics and medical centres across Australia, engaging approximately 570 general practitioners. The PH Primary Care Group also operates skin cancer clinics, allied health providers (physiotherapy and dietetics) and TeleWell, a 24/7 telehealth platform. The Partnered Health Group’s Corporate Health and Wellbeing Group provides corporate and occupational healthcare services and solutions, including occupational health services, psychology and mental health services, nutritional services, onsite medical and emergency response and training solutions and services provided by physiotherapists, massage therapists, exercise physiologists, and dietitians Ryan Plaza operates a single medical centre called “Medicine on Second” at Maroochydore, Queensland. Ryan Plaza provides primary care services through 11 general practitioners.
