Mid-West LNG Equipment Pty Ltd (**OCTA**) proposes to acquire the assets of the EDL LNG Fuel to Power Pty Ltd and Woodside Energy (LNG Fuels and Power) Pty Ltd joint venture (**WEJV**) (the **Acquisition**). The Acquisition involves OCTA acquiring three contracts for the supply of trucked liquefied natural gas (**LNG**) to mining sites in Western Australia, LNG inventory and associated plant and equipment. These assets constitute substantially all the assets of the WEJV business. OCTA is a Perth-based company that develops small scale LNG infrastructure assets in Australia. OCTA focuses on offering an integrated solution to remote mining customers in Western Australia. This includes end-to-end logistics for LNG for power generation, solutions for utilising LNG in place of diesel for heavy mine haul vehicles, re-deployable solar solutions, and the transition towards green hydrogen. OCTA operates the Mid-West LNG processing plant, located near Mount Magnet. Relevant to the Acquisition, OCTA, through it’s subsidiaries Clean Energy Fuels Australia (**CEFA**) and EVOL LNG, delivers LNG from the Mid-West LNG plant via road tanker to satellite facilities at mines and remote communities across Western Australia. LNG is stored and transported to these remote locations, where it is regasified and supplied to customers under LNG Supply Agreements for uses such as power generation. The OCTA Group is ultimately owned by I Squared Capital, a global infrastructure investor. WEJV is a partnership between EDL LNG Fuel to Power Pty Ltd and Woodside Energy (LNG Fuels and Power) Pty Ltd, with EDL LNG Fuel to Power Operator Pty Ltd appointed as operator. WEJV owns and operates the Woodside-EDL Trucked LNG Project in Western Australia. The Project delivers a suite of LNG solutions near Karratha, including delivered LNG, gas facility storage and vaporisation, gas-fired power generation and renewable generation. As part of the Project, WEJV supplies delivery services for trucked LNG.
