Calvary – 14 Healthscope hospitals and Healthscope Independence Services
MN-10040
Little Company of Mary Health Care Ltd (**Calvary**), through a wholly owned subsidiary, proposes to acquire 14 private hospitals, together with Healthscope Independence Services and all head office and centralised corporate support functions from Healthscope (the **Acquisition**). As part of the Acquisition, Calvary will acquire the following hospitals: * In New South Wales: Norwest Private, Lady Davidson Private, The Hills Private, and Sydney Clinic (all in Sydney), and Newcastle Private and Hunter Valley Private. * In Victoria: John Fawkner Private, Melbourne Private, Melbourne Clinic, and Dorset Rehabilitation (all in Melbourne). * In Queensland: Brisbane Private and Peninsula Private (both in Brisbane). * In the Northern Territory: Darwin Private. * In South Australia: Griffith Rehabilitation. Calvary will also acquire Healthscope Independence Services, which offers special accommodation and care support services, including operating 10 supported independent living sites in Victoria, 2 in the Northern Territory and 1 in NSW. The Acquisition forms part of a broader consortium acquisition of Healthscope's portfolio. The other consortium members are Acurio Health, Healthe Care and KnG Group, which will each acquire separate hospitals pursuant to inter-conditional sale agreements. Calvary is a not-for-profit operator of private and publicly funded hospitals in Australia. Calvary currently operates thirteen hospitals, consisting of three publicly funded hospitals in Melbourne (Calvary Bethlehem), Sydney (Calvary Kogarah) and Newcastle (Calvary Mater), and ten private hospitals across the ACT, New South Wales, South Australia and Tasmania. Calvary also offers aged care and in-home aged care services. Healthscope is Australia's second-largest private hospital operator. On 26 May 2025, Healthscope's parent entities entered into receivership, with McGrathNicol appointed as Receivers to complete a sale of the business. The Receivers conducted an extended sale process over Healthscope's hospital portfolio. Separate agreements were entered into between Calvary entities, Healthscope and the Receivers in December 2025 concerning the acquisition two additional Healthscope private hospitals – Holmesglen Private Hospital (Melbourne, Victoria) and Hobart Private Hospital (Hobart, Tasmania). The ACCC has considered each of these acquisitions previously and, in both cases, determined under section 51ABZE(1) that Calvary’s acquisition of the relevant hospital may be put into effect – see Calvary - Holmesglen Private Hospital (determination dated 28 April 2026) and Calvary - Hobart Private Hospital (determination dated 27 August 2026).
