Novonesis A/S (**Novonesis**) proposes to indirectly acquire 100% of the outstanding issued and to be issued share capital of Microbiogen Pty Ltd (**Microbiogen**) through its wholly owned subsidiary, Novozymes Australia Pty Ltd (**Novozymes**) (the **Acquisition**). Novonesis is a global biotechnology company headquartered in Denmark. Novonesis manufactures and supplies enzymes and microorganisms for industrial applications across multiple sectors. In Australia, it operates through its wholly owned subsidiary Novozymes, which operates as the regional sales, distribution and technical support arm of Novonesis in Australia and New Zealand. Novonesis is majority owned and controlled by Novo Holdings A/S, which is in turn wholly owned by the Novo Nordisk Foundation, an independent enterprise foundation based in Hellerup, Denmark. Microbiogen is a biotechnology company based in Sydney, Australia. Microbiogen is active in the research and development of yeast strains for industrial applications across a range of sectors, including biofuels, baking, food, animal feed, beverages and biochemicals. Novonesis currently holds an existing minority shareholding in Microbiogen and via the Acquisition proposes to indirectly acquire the outstanding share capital in Microbiogen that is not already owned by Novonesis.
