Insurance Building Australia Operations Pty Ltd (the **Acquirer**), the operating entity for Ambrose Construct Group, proposes to acquire 100% of the issued shares in Major LB Pty Ltd, the operating entity for Major Loss Builders (the **Target**). Ambrose Construct Group (**ACG**) is a national insurance repair and restoration company with a focus on services provided under insurance claims, servicing contracts directly with insurers and indirectly with insurance loss adjusters. ACG is comprised of the Ambrose Construct, Construct Services, Xtreme Clean, FEN Australia, Nexus Project Group and Abril Building Solutions and Restorations brands. ACG is majority owned by funds managed or advised by CPE Capital, an Australian private capital manager. Major Loss Builders (**MLB**) is an insurance building specialist supplying large loss commercial and residential insurance building services in Western Australia, South Australia and the Northern Territory. Both ACG and MLB overlap in the supply of insurance repair and restoration services for insurance claims, including business-as-usual repairs, emergency ‘make-safe’ services and associated services.
