WSP Australia Pty Limited (**WSP**) proposes to acquire substantially all of the assets and the business of Geotechnical Testing and Interpretation Pty Ltd (**GTI**) as a going concern. WSP is a subsidiary of the WSP group, a global engineering consulting services firm. As part of its service offering in Australia, WSP supplies a range of geotechnical testing and interpretation services (**geotechnical testing services**) to customers for onshore projects. Geotechnical testing services involve testing samples from various sources and environments and interpreting the test results to support geotechnical engineering analysis and related work. WSP operates five accredited geotechnical testing laboratories in Australia (located in Melbourne, Brisbane, Perth, Adelaide and Olympic Dam). GTI supplies a range of geotechnical testing services in Australia to customers for both onshore and offshore projects, with a focus on providing offshore marine testing services. GTI operates one geotechnical testing laboratory in Australia (located in Perth).
